Non-Circumvention, Non-Disclosure & International Master Fee Protection Agreement

Parties: Disclosing Party — BarrelDirect LLC ("Broker"); Receiving Party — the Buyer named below ("Buyer/Recipient").

1. Non-Circumvention: The Recipient agrees not to directly or indirectly contact, deal with, or transact with any counterparty (seller, refiner, supplier, or their authorised representatives) introduced by the Broker without the Broker's prior written consent, for a period of 12 months from the date of this Agreement.

2. Non-Disclosure: All information exchanged regarding counterparties, pricing, transaction terms, procedures and commercial structures shall be treated as strictly confidential and shall not be disclosed to any third party without mutual written consent, except as required by law.

3. Fee Protection (IMFPA): The Recipient acknowledges the Broker is entitled to a commission for any transaction consummated with an introduced counterparty: spot refined products 1.0%–2.0% of transaction value (or as agreed in writing per deal); term supply as agreed per deal. Commission is paid by the Seller within 48 hours of receipt of the buyer's payment.

4. Governing Law: English Law. Disputes resolved via LCIA Arbitration, London.

5. Term: 12 months from execution; survives the duration of any supply agreement plus 12 months.

6. Precedence & Entire Agreement: This Agreement governs the general commercial relationship between the Parties. Where any specific transaction is, or has been, subject to a separately executed written agreement between the Parties, including a transaction-specific Non-Circumvention, Non-Disclosure and Master Fee Protection Agreement, the terms of that specific agreement shall prevail over this Agreement with respect to that transaction to the extent of any inconsistency. This Agreement does not supersede, amend, or modify any such separately executed written agreement.
